These Terms of Use and your use of the Services are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law principles.
Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the federal and provincial courts located in Toronto, Ontario, and you hereby irrevocably consent to the exclusive jurisdiction and venue of such courts.
Any dispute, controversy, or claim arising out of or relating to these Terms of Use or the breach, termination, or validity thereof shall be settled by arbitration in accordance with the Arbitration Act of Ontario. The arbitration shall be conducted in Toronto, Ontario, and the language of the arbitration shall be English.
The arbitration award shall be final and binding on the parties. Judgment on the award may be entered in any court having jurisdiction thereof.
These Terms of Use constitute the entire agreement between you and Javute regarding the use of the Services and supersede all prior agreements between you and Javute. If any provision of these Terms of Use is found to be invalid by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
